General Terms and Conditions

1. General

  • 1.1 These general terms and conditions apply to all offers, agreements, and deliveries of HostService, located in Doetinchem and registered with the Dutch Chamber of Commerce under number 09124621.
  • 1.2 Deviations from and additions to these terms are only valid if agreed upon in writing.
  • 1.3 The applicability of any purchase or other conditions of the customer is explicitly rejected.
  • 1.4 If any provision of these terms is null or voidable, the remaining provisions will remain in full force.

2. Products and Services

  • 2.1 HostService offers, among other things, the following products and services:
    • Nodes
    • Laptops
    • Routers
    • Peripheral equipment
    • Hosting services
    • Support for data hosting on nodes
  • 2.2 The specifications and functionalities of the offered products and services are clearly stated on the website and in quotations.
  • 2.3 All offers and quotations from HostService are without obligation unless explicitly stated otherwise.

3. Internet Provider and Legal Restrictions

  • 3.1 Customers are solely responsible for ensuring that their ISP permits the operation of nodes or servers on their connection.
  • 3.2 HostService does not accept any responsibility for issues arising from ISP restrictions or non-compliance with the ISP’s terms of service.

4. Prices and Payment

  • 4.1 All prices are in euros and exclusive of VAT, unless stated otherwise.
  • 4.2 Payment must be made within 14 days of the invoice date, unless agreed otherwise in writing.
  • 4.3 Any additional costs arising from shipment are the sole responsibility of the customer.

5. Delivery and Retention of Title

  • 5.1 Delivery of products takes place at the agreed address.
  • 5.2 Delivery times are indicative and not binding.
  • 5.3 Ownership passes only after full payment.
  • 5.4 Risk transfers at the time of delivery.

6. Warranty and Complaints

  • 6.1 Products meet standard requirements at time of delivery.
  • 6.2 One-year warranty applies unless stated otherwise.
  • 6.3 Complaints must be reported within 7 days of discovery.
  • 6.4 HostService will repair, replace, or provide an appropriate solution.

7. Return Policy

  • 7.1 The return policy is available via the website. It prevails over these terms in case of contradiction.
  • 7.2 Only undamaged products in original packaging are accepted.
  • 7.3 Return costs are the customer’s responsibility unless agreed otherwise.

8. Consumers and Business Customers

  • 8.1 Consumers have a statutory right of withdrawal within 14 days.
  • 8.2 Business customers do not have this right.
  • 8.3 Liability to business customers is limited to direct damages.

9. Privacy and Data Processing

  • 9.1 HostService complies with GDPR.
  • 9.2 Data will not be shared without consent, except where necessary.

10. Intellectual Property

  • 10.1 IP rights remain with Host Service or its licensors.
  • 10.2 Customers receive non-transferable, non-exclusive usage rights.

11. Liability

  • 11.1 Liability is limited to invoice value.
  • 11.2 No liability for indirect damages.
  • 11.3 Only liable for intent or gross negligence.
  • 11.4 Customer is responsible for third-party apps installed at their request.

12. Export and Use Restrictions

  • 12.1 Products must not be supplied to military/intelligence organizations or arms industry.
  • 12.2 Customer must ensure non-military use for government agencies.
  • 12.3 HostService reserves the right to refuse delivery on violation of these terms.

13. Force Majeure

  • 13.1 No liability for delays due to force majeure.
  • 13.2 After 60 days, either party may terminate the agreement.

14. Amendments and Additional Work

  • 14.1 Additional work is charged at usual rates.
  • 14.2 Amendments are recorded in writing and may change prices/deadlines.

15. Governing Law and Disputes

  • 15.1 Dutch law applies to all agreements.
  • 15.2 Disputes will be resolved amicably or submitted to the competent court in Doetinchem.
